These Terms and Conditions ("Terms") govern your access to and use of the Io Audio Technologies website at ioaudiotech.com (the "Site"), operated by Knight Electronics, Inc. ("Knight Electronics," "Io Audio Technologies," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About the Site and Our Products

The Site provides information about Io Audio Technologies cable, connector, and accessory products, and tools to help you find authorized distributors and check distributor stock. We do not sell products directly through the Site. Products are sold through our authorized distributors and dealers, and each purchase is governed by the terms of the distributor or dealer you buy from, together with our product warranty described in Section 6.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

3. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable law or regulation;
  • Submit false, misleading, or fraudulent information, including through our contact or warranty request forms;
  • Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with the Site's security or operation;
  • Use bots, scrapers, or other automated means to access or collect content from the Site, except for standard search engine indexing;
  • Upload or transmit viruses, malware, or other harmful code;
  • Copy, reproduce, or redistribute Site content except as permitted in Section 4; or
  • Impersonate any person or misrepresent your affiliation with any person or organization.

4. Intellectual Property

The Site and its content, including text, product images, specifications, videos, graphics, logos, and software, are owned by Knight Electronics or its licensors and are protected by copyright, trademark, and other intellectual property laws. Io Audio Technologies, the Io Audio Technologies logo, and our product names are trademarks of Knight Electronics, Inc. Other trademarks shown on the Site belong to their respective owners.

You may view, download, and print Site content (such as product specification sheets) for your personal or internal business use in evaluating, purchasing, installing, or supporting Io Audio Technologies products, provided you do not modify the content or remove any copyright or trademark notices. Authorized distributors and dealers may use our product images and descriptions to market genuine Io Audio Technologies products, subject to any guidelines we provide. No other right or license is granted.

5. Your Submissions

When you send us information through the Site, such as through a contact or warranty request form, you represent that the information is accurate and that you have the right to submit it. Our use of personal information you submit is governed by our Privacy Policy.

If you send us ideas, suggestions, or feedback about our products or the Site, you agree that we may use them without restriction or compensation to you.

6. Product Information and Warranty

We try to keep product information on the Site accurate and up to date, but specifications, images, availability, and other details may change without notice and may contain errors. Product images are for illustration and may differ slightly from the actual product. Distributor stock information is provided by third parties and is not guaranteed.

Io Audio Technologies products are covered by the warranty described on our Warranty Information page. Nothing in these Terms limits or reduces that warranty, or any rights you have under applicable consumer protection laws that cannot be waived.

7. Third-Party Links and Content

The Site contains links to, and content from, third parties, including distributor and dealer websites, distributor stock tools, embedded YouTube videos, and social media platforms. We do not control and are not responsible for third-party websites, content, products, or services, and a link does not mean we endorse them. Your use of third-party sites and services is subject to their own terms and privacy policies.

8. Copyright Complaints (DMCA)

We respect the intellectual property rights of others. If you believe material on the Site infringes your copyright, please send us a written notice that includes:

  1. Your physical or electronic signature;
  2. Identification of the copyrighted work you claim has been infringed;
  3. Identification of the material you claim is infringing and its location on the Site;
  4. Your name, address, telephone number, and email address;
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

9. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN OUR PRODUCT WARRANTY, THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. This Section applies to the Site only and does not limit our product warranty.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KNIGHT ELECTRONICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.

11. Indemnification

You agree to indemnify and hold harmless Knight Electronics and its officers, directors, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these Terms or of any law or third-party right.

12. Export Compliance

You agree to comply with all applicable U.S. and international export control and economic sanctions laws in connection with your use of the Site and any technical information obtained from it.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts. If you are a consumer living in the European Union, the United Kingdom, or another country whose laws give you the right to bring claims in your local courts or under your local law, nothing in this Section takes away those rights.

14. Changes to the Site and These Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes apply from the date they are posted, and your continued use of the Site after that date means you accept the updated Terms.

15. Termination

We may suspend or end your access to the Site at any time, without notice, if we believe you have violated these Terms. Sections 4, 5, and 9 through 16 will continue to apply after your access ends.

16. General

These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them without restriction. Headings are for convenience only.
